These Terms of Service (“Terms”) govern your access to and use of Kaps (the “Service”) provided by WebTonic (“we”, “us”). By accessing or using the Service, you agree to these Terms.
You must be able to form a binding contract in your jurisdiction and meet any minimum age requirements to use the Service.
You are responsible for safeguarding your credentials and for activity under your account. Notify us promptly of unauthorized use.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal or personal creative purposes, in accordance with applicable law and any documentation we provide.
You retain rights in content you submit. You grant us and our service providers a license to host, process, transmit, display, and create derivative outputs as reasonably necessary to provide and improve the Service (including cloud rendering, storage, and AI-assisted features you enable).
You represent that you have the rights needed to submit your content and that your content does not violate law or third-party rights.
You agree not to misuse the Service, including by attempting to gain unauthorized access, interfering with operation, scraping in violation of our rules, uploading malware, or using the Service to infringe intellectual property or harm others.
Paid features, subscriptions, or credits may be offered through our payment providers. Fees, taxes, and billing terms are presented at purchase. Unless required by law, payments may be non-refundable except as stated at purchase.
The Service may integrate third-party services (including authentication and infrastructure). Their terms and privacy notices may apply.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100), EXCEPT WHERE PROHIBITED BY LAW.
You will defend and indemnify us against claims arising from your content or your violation of these Terms or law, to the extent permitted by law.
We may suspend or terminate access for violations of these Terms, risk to the Service or others, or legal requirements. You may stop using the Service at any time.
We may modify the Service or these Terms. If we make material changes, we will provide notice as required by law or by posting an updated date. Continued use after changes may constitute acceptance.
These Terms are governed by the laws of the State of Delaware, United States, excluding conflict-of-law rules. State and federal courts located in Delaware may have exclusive jurisdiction unless prohibited by law. (Replace this section with counsel-approved dispute resolution.)
These Terms constitute the entire agreement regarding the Service and supersede conflicting prior understandings. If a provision is unenforceable, the remainder remains in effect. Failure to enforce a provision is not a waiver.
